Terms of Service

These Terms of Service ("Terms") form a legal agreement between you ("Customer", "you") and Social Prysm Ltd ("Social Prysm", "we", "us"), a company registered in England and Wales with registered office at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ. By creating an account or using smhub.com or any of our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance of terms

By registering an account, accessing or using Social Prysm, you confirm that you are at least 18 years old, have the authority to bind your organisation and accept these Terms in full. If you are using Social Prysm on behalf of a company, "you" means that company.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use. You must provide accurate, complete and current information and keep it up to date.

3. Subscriptions and payment

Social Prysm is a subscription service. Fees are charged monthly or annually in advance based on the plan you select. Unless stated otherwise, fees are non-refundable except as set out in our Refund Policy. We may change our fees with 30 days' prior notice; changes take effect at your next billing cycle. All fees are exclusive of VAT and other applicable taxes.

4. Free trial

We offer a 14-day free trial on all new paid plans. At the end of the trial, if you have entered payment details, your subscription will automatically start and you will be charged. You may cancel at any time during the trial with no charge.

5. Cancellation and termination

You may cancel your subscription at any time from the billing page of your account. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial months. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or use the Services in a way that threatens the integrity or security of our platform.

6. Acceptable use

You agree not to, and not to allow any third party to:

  • Use the Services for any unlawful, fraudulent or harmful purpose.
  • Upload or transmit viruses, malware or other malicious code.
  • Attempt to gain unauthorised access to any part of the Services or our infrastructure.
  • Reverse engineer, decompile or disassemble the Services.
  • Use the Services to send spam or otherwise violate anti-spam laws.
  • Upload content that infringes intellectual property rights or is defamatory, obscene or otherwise unlawful.
  • Resell, sublicense or white-label the Services without prior written permission (except on the Agency plan where white-label is explicitly included).

7. Customer content

You retain all ownership and intellectual property rights in the content you upload into Social Prysm ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce, display and transmit Customer Content solely to the extent necessary to provide the Services. You represent and warrant that you have all rights required to upload and use the Customer Content.

8. Intellectual property

Social Prysm and all associated software, designs, logos, trade marks and documentation are the exclusive property of Social Prysm Ltd and its licensors. These Terms do not grant you any rights to our trade marks or brand elements.

9. Third-party services

Social Prysm may integrate with or link to third-party services (e.g., Instagram, Facebook, Stripe). We are not responsible for the availability, accuracy or content of third-party services. Your use of any third-party service is subject to its own terms and privacy policies.

10. Service availability

We aim for 99.9% uptime but do not guarantee that the Services will be uninterrupted, error-free or completely secure. We may perform scheduled maintenance which may cause temporary downtime, and we will give reasonable notice where possible.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will meet your specific requirements.

12. Limitation of liability

To the maximum extent permitted by law, Social Prysm's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. In no event shall we be liable for any indirect, incidental, consequential, special or exemplary damages, including lost profits, lost data or business interruption. Nothing in these Terms limits liability that cannot lawfully be limited (e.g., death or personal injury caused by negligence, or fraud).

13. Indemnification

You agree to indemnify and hold harmless Social Prysm Ltd, its directors, officers, employees and agents from and against any claims, damages, losses and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your breach of these Terms, or your misuse of the Services.

14. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only to perform its obligations under these Terms. This obligation survives termination for a period of three years.

15. Data protection

Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement (available on request). You are the data controller of Customer Content and we are the processor.

16. Changes to these terms

We may update these Terms from time to time. For material changes, we will give you at least 30 days' notice by email or in-app notice. Continued use of the Services after the effective date constitutes acceptance of the new Terms.

17. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
